1. Introduction

These Terms and Conditions (“Terms”) govern the services provided by Apointum Construction Services LTD(“Apointum,” “we,” “our,” or “us”) in sourcing and proposing commercial-roofing contract opportunities (“Opportunities”) to roofing contractors or companies (“Contractor,” “you,” or “your”). By accepting an Opportunity or otherwise engaging with our services, you agree to these Terms.

2. Our Role

  • We act as an introducer/commission agent only. We do not perform roofing work, provide design services, or enter into any building contract with end-clients.

  • We identify and propose Opportunities that may be of interest to you. You are solely responsible for negotiating, entering into, and performing any contract with the end-client.

3. Commission

  • Commission Basis: Where you enter into a contract with an end-client for an Opportunity we proposed, you agree to pay Apointum Construction Services LTD a commission equal to 3 % of the total contract price (excluding VAT).

  • Trigger: Commission is payable whether the contract is entered into directly or through any related entity, and whether the contract terms differ from the initial proposal, provided the Opportunity is substantially the same as introduced by us.

  • Payment: Commission is due within 14 days of you receiving the first payment from the end-client or the contract start date—whichever occurs first—unless otherwise agreed in writing.

  • Audit Rights: We may request reasonable evidence of the final contract value to confirm the commission owed.

4. Contractor Responsibilities

  • You remain fully responsible for due diligence, pricing, insurance, health & safety, compliance with the Construction (Design and Management) Regulations 2015, and all other statutory obligations.

  • You must notify us promptly when an Opportunity we have proposed results in a contract, and provide the agreed documentation for commission calculation.

5. Non-Circumvention

You agree not to bypass or attempt to bypass Apointum by contracting with the end-client (or their affiliates) for any Opportunity we introduced without paying the agreed commission.6. Confidentiality & Data Protection

  • Both parties shall keep all commercially sensitive information confidential.

  • We will handle any personal data in accordance with the UK GDPR and the Data Protection Act 2018.

7. Limitation of Liability

  • Apointum makes no warranty that any Opportunity will result in a contract or profit.

  • Our total liability for any claim arising under these Terms is limited to the total commission actually received by us in the 12 months preceding the claim.

  • We are not liable for indirect or consequential loss, including loss of profit or business.

8. Termination

  • Either party may terminate these Terms with 30 days’ written notice.

  • Termination does not affect our right to commission on Opportunities introduced prior to termination.

9. Governing Law & Jurisdiction

These Terms and any disputes arising from them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.

10. Entire Agreement

These Terms constitute the entire agreement between Apointum and the Contractor regarding the introduction of Opportunities and supersede any prior understandings.
